Terms of Service

These Terms of Service ("Terms") govern your access to and use of Chapter, a school comparison and research platform operated by Powerful Systems, Inc., a Delaware corporation ("Powerful Systems," "we," "us," or "our").
By accessing or using Chapter, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use Chapter.
1. Definitions
- "Consultant" means a user who creates an account to use Chapter in the course of their professional practice (independent educational consultant, counselor, or team member within an organization).
- "Family" means a parent, guardian, or student who accesses Chapter through a Consultant's invitation.
- "Organization" means a Consultant's business entity as represented by their Chapter organization account.
- "Services" means the Chapter platform, including all features, content, and functionality.
2. Account Registration and Security
Account Creation
To access Chapter, you must create an account or accept an invitation from a Consultant. When you create an account, you agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
Organization Accounts
Consultants may create an Organization and invite team members and Families. The Organization owner has administrative control over the account, including the ability to add or remove members, manage billing, and access data within the Organization.
The Organization owner is responsible for all activity within their Organization, including data entered by team members.
3. Subscription and Billing
Free Trial
We may offer a free trial period for new accounts. If you do not cancel before the trial ends, your subscription will begin and your payment method will be charged at the applicable rate.
Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). Your payment method will be automatically charged at the start of each billing period.
Price Changes
We may change subscription fees upon reasonable notice. Price changes take effect at the start of your next billing period after notice is provided. Your continued use of Chapter after a price change constitutes acceptance of the new pricing.
Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at support@withchapter.com. Cancellation takes effect at the end of your current billing period — you will retain access until then.
Refunds
Fees paid are non-refundable, except where required by applicable law. We do not provide refunds or credits for partial billing periods or unused features.
Seat-Based Pricing
If your plan is priced per seat, you will be billed for the number of seats in your Organization. Adding seats may result in prorated charges for the remainder of your billing period.
4. Use of the Services
Permitted Use
Consultants may use Chapter for their professional practice, including researching schools, managing client engagements, and generating presentations for the families they serve.
Families may use Chapter to provide information about their school search, view school recommendations, and access materials prepared by their Consultant.
Prohibited Use
You agree not to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit any harmful, threatening, abusive, or offensive content
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the operation of Chapter
- Use automated systems (bots, scrapers) to access Chapter without permission
- Misrepresent your identity or affiliation
- Share account credentials with unauthorized individuals
5. Consultant Responsibilities
Consultants have additional responsibilities when using Chapter:
- Consent: You are responsible for obtaining appropriate consent from Families before entering their personal information into Chapter, including information about minor students. Chapter processes Family data on your behalf — you determine what data is collected and how it is used within the platform.
- Minors: You agree not to invite children under the age of 13 to use Chapter directly. Student data should be entered by a parent, guardian, or Consultant — not by the student. You are responsible for ensuring you have parental consent before entering information about minor students.
- Accuracy: You are responsible for the accuracy of information you enter about Families and students.
- Data handling: You are responsible for your own compliance with applicable privacy and data protection laws in your jurisdiction. Chapter provides tools to help you manage and delete Family data, but compliance with your obligations to your clients is your responsibility.
6. User Content and Data
Your Data
You retain all rights to the data you enter into Chapter, including saved searches, student profiles, notes, and shortlists. We do not claim ownership of your data.
License to Us
By using Chapter, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, perpetual license to use, store, process, and display your data in connection with operating and improving the Services. The sublicense right permits us to share your data with service providers (such as AI and infrastructure providers) solely as necessary to operate the Services.
Public Sharing
When you publish and share school search results, you understand that anyone with the share link can view the published data. Published results are not password-protected. You can unpublish results at any time.
7. School Information
Data Accuracy
Chapter provides school information aggregated from publicly available government datasets and school websites. While we strive for accuracy, we do not guarantee that all school information is current, complete, or error-free. You are responsible for independently verifying school information before making decisions.
AI-Generated Content
Some school information and presentation content is generated using artificial intelligence. AI-generated content:
- May contain inaccuracies and should be verified independently
- Should not be relied upon as the sole source of information for important decisions
- Is generated using data handling practices described in our Privacy Policy
We recommend contacting schools directly to confirm details.
Not Professional Advice
Chapter is a tool for use by qualified professionals. The Services do not constitute educational consulting, school placement, or admissions advice.
8. Intellectual Property
Our Rights
Chapter, including its design, features, and functionality, is owned by Powerful Systems, Inc. and protected by copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, or distribute our content without permission
- Use our trademarks or branding without written consent
- Reverse engineer or attempt to extract source code from Chapter
- Create derivative works based on Chapter
Your License
We grant Consultants a limited, non-exclusive, non-transferable license to access and use Chapter for their professional practice in accordance with these Terms and their active subscription.
We grant Families a limited, non-exclusive, non-transferable license to access and use Chapter through their Consultant's invitation for the purpose of their school search.
9. Third-Party Services
Chapter integrates with third-party services (authentication, mapping, AI providers). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions or policies of third-party services.
10. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Chapter
- Our total liability for any claims arising from these Terms or your use of Chapter shall not exceed the greater of $100 or the amount you paid us in the 12 months preceding the claim
- We are not liable for any loss of data, profits, revenue, or business opportunities
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of these limitations may not apply to you.
11. Disclaimers
CHAPTER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Accuracy, reliability, or completeness of school information
- Uninterrupted or error-free operation
- Security of data transmission or storage
12. Indemnification
You agree to indemnify, defend, and hold harmless Powerful Systems, Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your violation of these Terms
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
- For Consultants: claims arising from Family data you entered into Chapter, including claims by or on behalf of minors or under any children's privacy law
We may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree not to settle any such matter without our prior written consent.
13. Termination
Your Right to Terminate
You may cancel your subscription and stop using Chapter at any time (see Section 3 for cancellation details). You may request account deletion by contacting us at support@withchapter.com.
Our Right to Terminate
We reserve the right to suspend or terminate your access to Chapter at any time, with or without notice, for any reason, including violation of these Terms. In the event of termination for cause, no refund will be provided. You agree that we will not be liable to you or any third party for any suspension, modification, or termination of your access to the Services.
Effect of Termination
Upon termination, your right to use Chapter will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitation of liability, and indemnification.
14. Changes to Terms
We may modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of Chapter after changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using Chapter.
15. Governing Law and Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Dispute Resolution
Any dispute arising from these Terms or your use of Chapter shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in court for intellectual property disputes.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
16. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Powerful Systems regarding Chapter.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or your rights under these Terms without our written consent. We may assign these Terms without restriction.
